End User License Agreement (EULA)

Effective Date: October 1, 2024

This End User License Agreement ("Agreement") is a legal agreement between you ("User", "You", "Your") and Fantastic Solutions, LLC ("Company", "We", "Us", or "Our") concerning your use of the Undrgrnd App ("App"). By downloading, installing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the App.
 

1. License Grant

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App solely for personal, non-commercial purposes.
You are not permitted to: ​

  • Upload objectionable content. Fantastic Solutions LLC has a zero tolerance policy regarding objectionable content. Objectionable content may not be uploaded or displayed to the extent such content includes (i) Sexually explicit materials; (ii) obscene, defamatory, libelous, slanderous, violent and/or unlawful content or profanity: (iii) content that infringes upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary right, or that is deceptive or fraudulent: (iv) content that promotes the use or sole of illegal or regulated Substances, tobacco products, ammunition and/or firearms: and (v) gambling, including without limitation, any online casino, sports books, bingo or poker. Any user can flag content they deem objectionable for review. Content will be moderated by us to ensure the timely removal of any and all objectionable content. User accounts which have been confirmed responsible for posting objectionable content will be restricted from access to Undrgrnd website and app.

Handling Abusive Users: User accounts confirmed to be responsible for posting objectionable content or engaging in abusive behavior, including but not limited to harassment, bullying, threats, or hate speech, will be restricted from accessing the Undrgrnd website and app. Depending on the severity of the violation, accounts may be temporarily suspended or permanently banned. In cases of repeated or severe violations, the user may be permanently barred from the platform, with no right to appeal.

The Company reserves the right to take any legal action necessary against abusive users, including reporting unlawful activities to appropriate authorities.


2. Event Hosting and Attendance

The App allows users to:

  • Host events and manage event-related information such as time, location, and fees.

  • Attend events hosted by other users, which may include a fee set by the event host.


2.1 Fees and Transactions

  • Event hosts may charge an entry fee for guests attending their events. This fee is set by the host and is entirely optional.

  • Currently, the App does not take any percentage of the entry fee, but we reserve the right to take a percentage of such fees in the future. Users will be notified in advance of any changes to this policy.

  • All fees and transactions are processed through third-party payment providers. By participating in a transaction, you agree to the terms and conditions of the respective payment provider.


3. User-Generated Content and Responsibilities

By hosting or attending events, you may submit or upload information ("User Content") such as event details, descriptions, images, or feedback. You are solely responsible for the content you submit, and you agree not to post any content that:

  • Violates any applicable laws.

  • Is fraudulent, defamatory, or infringes on the rights of any third party.

  • Contains viruses or other harmful components.

We reserve the right to remove any User Content that violates these terms or is deemed objectionable.


4. Content Moderation and Reporting


4.1 Reporting Abuse

The App provides tools to report objectionable content, inappropriate behavior, or abusive users. Users are encouraged to report any violations of our Terms and Conditions, and we will act on such reports within 24 hours.


5. Changes to the App

We reserve the right to modify, update, or discontinue the App or any features of the App at any time, with or without notice. Any new features or services will also be subject to this Agreement unless stated otherwise.


6. Ownership and Intellectual Property

The App, including all content, features, and functionality, is the exclusive property of the Company or its licensors. You agree not to copy, modify, or distribute any part of the App without prior written permission from the Company.


7. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including your breach of this Agreement. Upon termination, you must cease all use of the App and delete any copies of the App from your devices.


8. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the App, including but not limited to event fees, cancellations, or disputes between users.


9. Indemnification

You agree to indemnify and hold the Company harmless from any claims, damages, liabilities, or expenses (including legal fees) arising from your use of the App, your violation of this Agreement, or any User Content you submit.


10. Privacy Policy

By using the App, you consent to the collection and use of your information as outlined in our Privacy Policy. Please review the Privacy Policy to understand how your data is handled.


11. Governing Law

This Agreement is governed by and construed in accordance with the laws of the United States and the State of Nevada. Any disputes arising out of or relating to this Agreement shall be resolved in the courts of California.


12. Amendments to the Agreement

We may update this Agreement from time to time. Users will be notified of any significant changes through the App or via email. Continued use of the App after any such changes constitutes your acceptance of the new terms.
